These Terms and Conditions (“Terms,” “Agreement”) constitute a legally binding agreement between Accu Financials, Inc. (“Accu Financials,” “we,” “our,” or “us”), a professional financial services firm incorporated in Texas and headquartered at 12234 Shadow Creek Pkwy #1100, Pearland, TX, 77584 USA, and you (“Client,” “you,” or “your”) — whether an individual, sole proprietor, partnership, corporation, LLC, franchise, or other legal entity.
By engaging Accu Financials’s services, accessing our website at accufinancials.com, submitting a contact form, signing an engagement letter, or otherwise using our platform, you agree to be bound by these Terms in their entirety. If you do not agree, you must not use our services or website.
These Terms apply in addition to any engagement letter, service agreement, or statement of work executed between you and Accu Financials. In the event of a conflict between these Terms and a signed engagement letter, the engagement letter shall govern with respect to the specific services described therein.
Independent accounting firms may join the Accu Financials Network to access shared infrastructure, delivery capacity, lead generation, and practice management tools. Participation in the Accu Financials Network is subject to a separate membership agreement.
The specific scope of services, fees, and timelines for each engagement shall be set forth in a separate engagement letter or statement of work. Accu Financials reserves the right to modify the services offered at any time.
To enable Accu Financials to deliver services effectively and accurately, you agree to:
Accu Financials’s ability to deliver accurate work is dependent on the quality and timeliness of the information you provide. Accu Financials is not responsible for errors, omissions, or delays caused by inaccurate, incomplete, or late information provided by the Client.
Invoices are issued monthly or upon project milestones as specified in the engagement letter. Payment is due within fifteen (15) days of the invoice date unless otherwise agreed in writing. Accu Financials accepts payment via ACH transfer, wire transfer, credit card, and other methods as communicated during onboarding.
Overdue balances are subject to a late payment fee of 1.5% per month (18% per annum) or the maximum rate permitted by applicable Texas law, whichever is lower. Accu Financials reserves the right to suspend services for accounts more than 30 days past due, without liability for delays or losses resulting from such suspension.
If you dispute an invoice, you must notify Accu Financials in writing within 10 days of receipt of the invoice. Undisputed amounts remain due and payable on the original due date. Failure to dispute within this timeframe constitutes acceptance of the invoice.
Fees quoted for Accu Financials’s services are exclusive of any applicable sales or use taxes. If any government authority requires Accu Financials to collect such taxes on its services, they will be added to your invoice.
These Terms are effective upon your first engagement with Accu Financials and continue until all services under active engagement letters are completed or terminated.
You may terminate an engagement by providing at least thirty (30) days’ written notice to [email protected]. You remain responsible for all fees for services performed through the effective termination date, including any work in progress or committed costs.
Accu Financials may terminate any engagement immediately upon written notice if:
Upon termination, Accu Financials will provide you with a final invoice covering all services rendered through the termination date. Accu Financials will cooperate in the orderly transition of your records and data, subject to payment of all outstanding balances. Accu Financials will retain records as required by applicable law and professional standards.
Both parties acknowledge that they may receive confidential information in connection with the engagement. Accu Financials agrees to:
Your confidentiality obligations to Accu Financials include protecting Accu Financials’s proprietary methodologies, pricing, and service frameworks. Confidentiality obligations survive the termination of the engagement for a period of five (5) years.
All proprietary methodologies, workflow systems, templates, software, and practice management frameworks developed by Accu Financials remain the exclusive property of Accu Financials. These materials are provided to you for use only in connection with the services delivered under your engagement and may not be reproduced, distributed, or used for any other purpose.
Financial reports, tax returns, and other deliverables prepared specifically for your business using your data are your property upon full payment of applicable fees. You grant Accu Financials a limited license to use your data and documents solely to the extent necessary to perform the services.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, Accu Financial’s liability shall be limited to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless Accu Financials, its officers, employees, contractors, and Accu Financials Network members from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
In the event of any dispute arising out of or relating to these Terms or any Accu Financials engagement, the parties agree to first attempt resolution through good faith negotiation. The party raising the dispute shall provide written notice describing the issue, and the parties shall meet (in person, by phone, or by video conference) within 15 business days to attempt resolution.

Accu Financials makes no warranty that the website will be available without interruption, error-free, or free of viruses or other harmful code. The website and its content are provided “as is” to the extent permitted by applicable law.
Our services may involve accessing, integrating with, or operating within third-party platforms including QuickBooks, Xero, Odoo, Salesforce, Oracle, and Microsoft Dynamics 365. Accu Financials is not responsible for the performance, availability, security, or data practices of these third-party platforms. Your use of third-party platforms is governed by their respective terms of service and privacy policies.
Accu Financials will access third-party platforms only with your explicit authorization and will not retain access credentials beyond the needs of the engagement.
Accu Financials shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, power failures, internet outages, cyberattacks, or other events of force majeure. In such events, Accu Financials will notify you promptly and use commercially reasonable efforts to resume performance.
Accu Financials reserves the right to modify these Terms at any time. We will provide at least 30 days’ notice of material changes by email or by posting the updated Terms on our website at accufinancials.com. Your continued use of our services or website after the effective date of changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must notify us in writing and discontinue use of our services.
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
No failure or delay by Accu Financials in exercising any right under these Terms shall constitute a waiver of that right. Any waiver must be in writing and signed by an authorized representative of Accu Financials.
